An IBC (International Business Company) provides confidentiality and is suited for holding and managing private assets. The IBC is not resident for tax purposes. International companies are regular companies, which can be incorporated for any purpose but may not carry out business anywhere in Anjouan or with any Anjouan citizen. They are not subject to any taxes or reporting requirements whatsoever.
A special licence is required in order to carry on banking, insurance, gaming, & brokerage. Corporate endings in most languages are acceptable, including: Corp, Inc, Ltd, Kft, GmbH, PLC, BV, SPRL, SARL, NV, BVBA, SA, RT, AG LLC, etc
Companies are usually limited by share capital, but may also be limited by guarantee, or, unusually, by both.
The minimum number of shareholders is one who can be an individual or a company. Documentation is available in English, but can be produced in French if required at an extra cost. An IBC must at all times have a registered agent approved by the Anjouan Offshore Finance Authority. Anjouan Corporatel Services Ltd is the only authorised agent.
An IBC May not hold immovable property in Anjouan.
KYC and Due Diligence
Please submit the following documents for each of the beneficial owner, director, manager, authorised signatory, shareholder/member of the Entity or agent under power of attorney.
(a) For Individual
A certified copy of passport or current driving licence or national identity card showing the name, date and place of birth, nationality, signature of holder and data of issue/expiry. The document must be certified by a banker, lawyer or actuary or notary or accountant holding a recognized professional qualification.
Proof of residential address. Acceptable evidence includes an original utility bill, bank or credit card statement.

(b) For Corporate/Partnership
Certificate of incorporation or registration and the memorandum and articles of association or constitution or deed of partnership or Act de Soci?t? as the case may be. Document has to be certified by banker, lawyer or actuary or notary or accountant holding a recognized professional qualification.

A certified true copy of latest audited account or annual report.
A Certificate of good standing (for Soci?t?).
List of substantial shareholders (who hold not less than 5% of the voting power exercisable at the meeting of shareholder/member) and a list of directors, and corporate structure. A certified copy of Board resolution granting authority to its managers, officers or employees to transact business on its behalf.
